Agreement Details
1. Acceptance of Terms
By downloading, installing, accessing, or using Muster App ("the App," "the Service"), you ("User," "you," "your") agree to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree with any part of these Terms, you must not use Muster App.
These Terms constitute a legally binding agreement between you and Vaagai Tecknowledge, a sole proprietorship registered under the laws of India ("we," "us," "our," "the Company").
You must be at least 18 years of age to use Muster App. By using the App, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement.
2. Description of Service
Muster App is an all-in-one business management mobile application that provides the following core modules:
- Project Management — task creation, assignment, tracking, Gantt timelines, and Kanban boards.
- HR & Team Management — team directory, role management, leave tracking, and onboarding checklists.
- Billing & Invoices — invoice creation, client management, recurring billing, and revenue tracking.
Muster App is offered under a freemium model with Free and Paid subscription tiers. Feature availability varies by subscription plan.
3. Account Registration and Workspace
3.1 Account Creation
To use Muster App, you must create an account using a valid email address and create a Workspace. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at legal@Muster.co.in of any unauthorized use of your account.
3.3 One Account Per Person
Each individual user may maintain only one personal account. Creating multiple accounts to circumvent subscription limits or feature restrictions is a material breach of these Terms and may result in immediate account termination.
3.4 Workspace Ownership
The person who creates a Workspace is the Workspace Owner and is responsible for all activity within that Workspace, including data entered by invited team members. Workspace Owners are responsible for ensuring their team members comply with these Terms.
4. Subscription Plans and Billing
4.1 Free Plan
Muster App offers a Free plan with limited features. We reserve the right to modify the features included in the Free plan at any time with 14 days prior notice.
4.2 Paid Subscription Plans
Paid plans are available on the following billing cycles:
- Monthly Subscription — billed every 30 days from the date of subscription.
- Annual Subscription — billed once every 12 months from the date of subscription.
- Lifetime Deal — a one-time payment granting perpetual access to Muster App features available at the time of purchase, subject to Clause 4.7.
4.3 Payment Processing
All payments are processed by our authorized third-party payment gateways which may include Razorpay, Cashfree, or PayU Money. By providing your payment details, you authorize the payment gateway to charge the applicable subscription fee. Vaagai Tecknowledge does not store your payment card details.
4.4 Auto-Renewal
Monthly and Annual subscriptions automatically renew at the end of each billing cycle unless cancelled by you at least 24 hours before the renewal date. You authorize us to charge the then-current subscription fee to your payment method on each renewal date.
4.5 Price Changes
We reserve the right to change subscription prices. You will be notified of any price change at least 30 days in advance via email and in-app notification. Continued use of the Service after the price change effective date constitutes acceptance of the new pricing. Lifetime Deal holders are exempt from price increases for features available at the time of their purchase.
4.6 Taxes
All subscription prices are exclusive of applicable taxes. Goods and Services Tax (GST) and any other applicable Indian taxes will be added to the subscription price at the prevailing rate. A GST-compliant invoice will be issued for every transaction.
4.7 Lifetime Deal — Important Notice
"Lifetime" refers to the commercially viable lifetime of Muster App, not the lifetime of the user or any legal entity. In the event that Muster App is discontinued, Lifetime Deal holders will receive a minimum 90-day advance notice and a pro-rata credit or refund at our discretion.
5. Acceptable Use Policy
You agree to use Muster App only for lawful business purposes and in accordance with these Terms. You agree NOT to:
- Use Muster App for any illegal, fraudulent, or unauthorised purpose.
- Upload, store, or transmit any content that infringes any patent, trademark, trade secret, copyright, or other intellectual property right.
- Upload or transmit viruses, malware, or any other harmful or disruptive code.
- Attempt to gain unauthorized access to any part of Muster App, its servers, or its connected systems.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of Muster App.
- Resell, sublicense, or commercially exploit Muster App or any of its features without our prior written consent.
- Use Muster App to store, process, or transmit sensitive personal data of third parties without proper lawful consent.
- Create accounts, workspaces, or projects using automated scripts or bots.
- Use Muster App in any way that could damage, disable, overburden, or impair our infrastructure.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.
6. Intellectual Property
6.1 Our Property
Muster App, including its name, logo, visual design, software code, features, and all content created by Vaagai Tecknowledge, is the exclusive intellectual property of Vaagai Tecknowledge and is protected by Indian and international copyright, trademark, and intellectual property laws.
6.2 Your Content
You retain full ownership of all data, content, and information you upload or create within Muster App ("Your Content"). By using Muster App, you grant Vaagai Tecknowledge a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely for the purpose of providing the Service to you.
6.3 Feedback
If you submit feedback, suggestions, or feature requests regarding Muster App, you grant us the right to use such feedback without restriction and without any obligation of compensation or attribution to you.
7. Data and Privacy
Your use of Muster App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By agreeing to these Terms, you also agree to the Privacy Policy. We process your personal data in accordance with the Digital Personal Data Protection Act, 2023.
8. Service Availability and Modifications
8.1 Uptime
We aim to maintain Muster App availability 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted, error-free access. We reserve the right to perform scheduled or emergency maintenance at any time.
8.2 Modifications
We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time. We will provide reasonable notice for significant changes. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
9. Termination
9.1 Termination by You
You may terminate your Muster App account at any time via Settings → Account → Delete Workspace. Upon termination, your access to Paid features will cease at the end of your current billing period. Your data will be deleted within 30 days of account deletion.
9.2 Termination by Us
We reserve the right to suspend or terminate your account immediately, without prior notice or liability, if you breach any provision of these Terms, if required by law, or if we reasonably believe your use poses a risk to the security or integrity of Muster App.
9.3 Effect of Termination
Upon termination, all licences granted to you under these Terms immediately cease. Clauses relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
10. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- Muster App and Vaagai Tecknowledge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.
- Our total aggregate liability to you for any claim arising from these Terms or your use of Muster App shall not exceed the total subscription fees paid by you in the 12 months immediately preceding the claim.
- We are not liable for any loss or damage caused by third-party payment gateways, cloud infrastructure providers, or other third-party services integrated with Muster App.
11. Indemnification
You agree to indemnify, defend, and hold harmless Vaagai Tecknowledge and its proprietor, employees, and contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of Muster App in violation of these Terms; (b) Your Content; (c) your violation of any applicable law; or (d) any dispute between you and a third party.
12. Disclaimer of Warranties
Muster App is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, completely secure, or free of viruses or other harmful components. We do not warrant that any specific results will be achieved through use of the Service.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Any dispute, claim, or controversy arising from these Terms or your use of Muster App shall first be attempted to be resolved through informal good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Chennai, Tamil Nadu, India. The language of arbitration shall be English.
Notwithstanding the above, either party may seek injunctive or other equitable relief from a court of competent jurisdiction in Tamil Nadu, India, for any breach that threatens intellectual property rights or confidentiality obligations.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide at least 14 days advance notice of material changes via email and in-app notification. Your continued use of Muster App after the effective date of the revised Terms constitutes your acceptance of the changes.
